1. Services Provided

Sohan Soft Tech provides professional services including, but not limited to, web development, systems architecture, business automation, and technical consultancy. All services are governed by a specific Statement of Work (SOW) or project agreement.

2. Intellectual Property

  • Ownership: Unless otherwise agreed in writing, Sohan Soft Tech retains ownership of all underlying code, frameworks, and proprietary methodologies used in the creation of your project.

  • Client License: Upon full payment of all invoices, the client is granted a non-exclusive, perpetual license to use the final delivered product for its intended business purpose.

  • Restrictions: You may not reverse-engineer, resell, or redistribute our proprietary systems or code unless explicitly authorized in your service agreement.

3. Client Obligations

  • Information Accuracy: You agree to provide accurate, complete, and timely information required for project completion.

  • Approvals: Timely feedback and approvals are required at each project milestone. Delays in client feedback may result in adjusted project timelines.

4. Payments and Billing

  • Quotes: Price estimates are valid for 30 days from the date of issuance.

  • Payment Terms: Payment schedules (e.g., deposits, milestones, or monthly retainers) will be outlined in your specific project proposal.

  • Late Payments: We reserve the right to suspend services or halt development if payments are not received by the due date.

5. Third-Party Integrations

Our services may involve integration with third-party platforms (e.g., payment gateways, SMS APIs, hosting providers). Sohan Soft Tech is not responsible for the uptime, performance, or policy changes of these third-party services.

6. Limitation of Liability

To the maximum extent permitted by law, Sohan Soft Tech shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities arising from the use or inability to use our developed solutions.

7. Confidentiality

Both parties agree to keep all sensitive business information, project requirements, and proprietary data confidential during and after the term of the engagement.

8. Termination

Either party may terminate the agreement if the other party breaches these terms and fails to cure such breach within 15 days of written notice. Upon termination, the client shall pay for all work completed up to the termination date.

9. Governing Law

These terms are governed by and construed in accordance with the laws of Karnataka, India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore.
